RAKYAT DI DAHULUKAN UNTUK DI TIPU

KELUARGA TEOH TETAP MAHU SURUHANJAYA DIRAJA
– malaysiakini

Bernas unfazed by Hong Kong firm owning almost a third of it
KUALA LUMPUR, July 29 — Padiberas Nasional Bhd (Bernas) clarified today that the 31 per cent control of its shares by a Hong Kong-based firm,Wang Tak Co Ltd, will not affect it.

It will not involve changes in the control and management structure of Bernas, the company said in a statement.

The statement by Bernas was in response to reports in the local media on the issue today.

The statement said that following the listing on the main board of the then Kuala Lumpur Stock Exchange on Aug.25, 1997, the direction and management of Bernas has been fully under the control of the Bernas Board, which is fairly represented by the main and minority shareholders of the company including the government as a special shareholder.

According to the statement, as a public listed company, the business of Bernas is subject to the terms and conditions of Bursa and it does not have any power to control the purchase of shares by anyone on the open market.

However, as a company with a strategic interest for the nation, the interest of all, comprising farmers, millers, wholesalers, consumers and shareholders, is protected.

This is stated in the terms and conditions of the Company Memorandum and Articles as well as the privatisation agreement signed between Bernas and the government in 1996, the statement said.

Article 3 (1) states that any merger which can involve the transfer of power or management of the company to any individuals or foreign firms or any foreign controlled firm, is not allowed at all.

According to the statement, under the same article, apart from listed individuals, any others or representatives wanting to be elected to the Board of Directors, must get the permission in writing from the Holder of Special Shares.

The statement said Article 8 and 9 of the company Memorandum and Articles states that the Holder of Special Shares had veto power over any resolution of the Board of Directors or shareholders of Bernas if the government finds that it needs to be done in national interest and the security of the country.

In this regard, with the confidence and cooperation of the government, any risk from foreign shareholder control in a strategic industry such as padi and rice can be curtailed, based on the said allocations and resolution, Bernas said. — Bernama
